CAPITAL MARKETS

We offer a full range of securities law advice, including structuring and drafting private placement memoranda, initial and secondary public offerings, offshore capital raises, real estate fund formation, alternative public offerings, and listings on national and foreign stock exchanges. We represent hedge funds, private equity funds, high net-worth individuals, and public and private corporations.

CORPORATE, MERGERS AND ACQUISITIONS

We assist domestic and international clients in many industries with a variety of corporate transactions, particularly mergers and acquisitions, and private equity and venture capital transactions. We represent domestic and international clients in purchases, sales, recapitalizations, and management buyouts. We focus on finding creative solutions to complex transactions and on tax optimization strategies for those transactions.

REAL ESTATE

We represent foreign and domestic clients in connection with purchases, sales, leasing, and financing of all types of residential, commercial, agricultural, and industrial real estate in the U.S. and overseas. We also assist domestic and foreign institutional clients invest indirectly in U.S. real estate through private equity funds and REITs.

CROSS-BORDER TRANSACTIONS AND FOREIGN INVESTMENT

We represent international and U.S. clients in cross-border transactions, particularly in Europe, South America, and Asia. Several of our attorneys have lived and worked overseas. Our team speaks nine different languages allowing us to bridge cultural and language gaps.

LITIGATION AND ARBITRATION

We handle a wide range of civil and criminal litigation matters across the United States. While our litigation practice is primarily focused on corporate and securities matters, including SEC, FINRA regulatory investigations and enforcement actions, we also prosecute and defend claims on behalf of individuals and corporations in many other areas of law, including intellectual property, contract, labor and fiduciary disputes, civil RICO actions, real estate, torts, and family law disputes (complex divorces and custody litigation).

INTERNATIONAL TAX, TRUSTS AND ESTATES

We represent:
Non-U.S. resident clients in structuring various types of transactions for tax optimization, asset protection, and inheritance purposes.
U.S. clients with assets abroad and foreign clients with assets in the U.S. with their succession and estate planning.
U.S. estates with foreign assets and foreign estates with U.S. assets, and assist them in liquidating and distributing these assets.

EMPLOYMENT AND EXECUTIVE COMPENSATION

We advise domestic and international clients on all aspects of employment law, including employment contracts, compliance and litigation defense involving federal, state, and local wages and hours laws, discrimination, misclassification, and other issues.
We have extensive experience in drafting executive retention plans across a range of industries, including restricted stock, stock option, phantom stock, stock appreciation rights, profits interests, and other incentive compensation plans.
